Pera Capital Acquires 45% of Asset Medikal Tasarım A.Ş.
Pera Capital has acquired 45 percent of the shares of Asset Medikal Tasarım A.Ş., a manufacturer and marketer of needle-free injection valves (Ven Valves). ÜNLÜ & Co was the financial advisor for this transaction, the first PE transaction in Turkey.
Forty-five percent of Asset Medikal A.Ş. has been transferred to Pera Capital, a private equity fund that focuses on mid-sized enterprises in Turkey. Asset Medikal has grown through its partnership with Teknoloji Yatırım A.Ş., an early-stage venture capital firm and a subsidiary of the Technology Development Foundation of Turkey. This transaction marks the first time the shares of held by a venture capital fund are acquired by a private equity fund. ÜNLÜ & Co was the financial advisor for this first-in-class transaction in Turkey.
İbrahim Romano, ÜNLÜ & Co Corporate Finance Managing Director, said the transaction has been completed successfully and that the agreement will create significant added value for Asset Medikal Tasarım A.Ş., the target company. Given its contribution to the country's economy, Asset Medikal Tasarım A.Ş. was recognized by KOSGEB (Small and Medium Industry Development Organization). Asset Medikal's founding partner, Füsun Ünal Tüysüz, was given the Best Women Entrepreneur award in 2012. This agreement will reinforce Asset Medikal Tasarım A.Ş.'s position as a domestic and national healthcare technology company against international competitors."
ÜNLÜ & Co had previously acted as the exclusive financial advisor on the acquisition of shares of Solventaş, a liquid chemical storage terminal, by Yılport Holding A.Ş., a subsidiary of Yıldırım Holding. Earlier this year ÜNLÜ & Co advised on the sale of Ülker İçecek to DyDo DRINCO of Japan (TL 335 million) and on the acquisition of a 30% stake in GAMA Enerji by Tenaga National of Malaysia (USD 255 million). ÜNLÜ & Co also completed private placements of Soda Sanayii (USD 100 million), Sabancı Holding (USD 75 million) and Petkim (USD 50 million) shares to international institutional investors in 2016.
